As businesses in Pakistan increasingly move towards digital operations, the legality of digital signatures has become a critical topic. The Electronic Transactions Ordinance (ETO) 2002 remains the primary legal framework governing these modern acknowledgments.

Contrary to common misconceptions, a digital signature is not merely a scanned image of a physical signature. Under the ETO, it refers to a specific cryptographic process that ensures the integrity and authenticity of the electronic document.

For a digital signature to be legally binding in a Pakistani corporate contract, it must meet several criteria: it must be unique to the signer, capable of identifying the signer, and created using means that the signer can maintain under their sole control.

Pakistani courts have begun to show greater receptivity towards electronic evidence. In recent corporate disputes, properly authenticated digital contracts have been treated with the same weight as traditional paper-based agreements, provided they comply with the technical standards set by the law.

Companies are advised to use reputable digital signature service providers that maintain detailed audit logs, as these logs serve as crucial evidence in case of a legal dispute regarding the execution of a contract.
